Quorum Service Agreement

*Plain-English terms. One page on purpose. A government attorney should be able

to read this in four minutes and find nothing to argue with.*

Between: Quorum ("we", "us") and the public entity named on the order

("you").

1. What we do

For the annual fee on your order, we:

• Review your website and the documents it publishes against the WCAG 2.1

Level AA standard, on the schedule for your plan, and give you a plain-English

list of what we find and how to fix it.

• Repair documents you publish, where repair can be made automatically and

verified. We return the repaired file to you. Documents we cannot repair

automatically are identified and reported, not silently skipped.

• Record every review, finding and repair, with dates, and provide you a

copy of that record at any time and in full at each anniversary.

• Provide an accessibility statement and feedback mechanism for your site.

2. What we do not do — read this section

• We do not certify compliance and we do not guarantee it. No automated

service can, and you should be cautious of any that claims to. Some aspects

of the standard can only be judged by a person.

• We do not promise that you will not receive a complaint or a claim. We

provide the measurement, the repairs, and the record.

• We do not modify your website. We tell you and your web vendor exactly what

to change. We do modify documents, because you send us the file.

• We do not install any script, widget or overlay on your site.

3. Term, renewal and non-appropriation

• Twelve months from the start date on your order.
• Renews for a further twelve months only on your written confirmation or

a new purchase order. Nothing renews silently.

• Non-appropriation. If your governing body does not appropriate funds for

a subsequent term, you may end this agreement at the end of the current term

with no penalty. Tell us in writing and that is the end of it.

• Either of us may end this agreement on 30 days' written notice. If you end

it early we refund the unused months.

4. Payment

• Annual, in advance, by purchase order and invoice (net 30), ACH, cheque, or

card.

• No setup fee. No per-page fee within your plan's document allowance.

Documents beyond your allowance are quoted before we do them, never billed

as a surprise.

5. Your data and your documents

• Documents you send us are used to repair them and to keep the record. We do

not sell, share or train anything on them. We keep them for seven years for

the record, or delete them sooner on your written request.

• Public records remain public records. We do not change that.

6. Liability

• Our total liability to you under this agreement, for any reason, is limited

to the fees you paid us in the twelve months before the claim.

• We are not liable for the actions of your web vendor, your other software

vendors, or for content you publish after we reported it.

7. The ordinary things

• We each keep the other's non-public information confidential.
• This agreement is governed by the law of your state. We come to you.
• If a court finds any part of this unenforceable, the rest stands.
• This is the whole agreement; changes must be in writing.
